Distribute tokenized securities in Germany
An electronic security still needs a route to investors. Gubbi AG operates the GDX Primary Market through Gubbi Protection GmbH to connect issuers with banks, financial advisors and other distributors in Germany. The practical question is how a new security fits into an existing advice and subscription process.
The audience: banks, advisors and distribution pools
GDX Primary Market addresses banks and financial service providers (in German), as well as distribution pools and platform partners. A bank may need the security in its own client journey; a pool needs information and a process its advisors can use. An issuer needs partners whose permissions and client base match the product. These are different procurement decisions, even when the underlying security is the same. GDX Primary Market also has a page for distributors and pools (in German).
GDX Primary Market presents API, single sign-on and digital onboarding options. Each institution still has to assess integration, product governance and the regulated activities it performs.
From product approval to subscription
Before an advisor can offer a security, the product needs clear investor information, eligibility rules and a documented subscription path. The investor's identity, order and allocation must be handled in the agreed system. The crypto securities register then records the resulting holding through its licensed keeper. A token cannot substitute for client advice, suitability checks or disclosure.
GDX Primary Market states that it acts as a tied agent under MFC Service GmbH for investment brokerage and advice. Ask which party performs each step of the proposed distribution model and which license covers it.
Why existing channels matter
Many issuers can arrange tokenization but still have no bank or advisor willing to place the product. Gubbi's work with Fondskonzept AG and DGFRP targets that gap: tokenized assets can be presented through established advisor channels. The GDX Primary Market partnership report explains the arrangement. Reach alone says nothing about completed sales; the test is whether a suitable investor can receive the information, place an order and hold the security through a compliant process.
What should a distribution partner ask GDX Primary Market?
Request the product universe, eligibility criteria, the onboarding flow, technical interfaces, fee structure and a map of regulated responsibilities. Check who owns the client relationship and how reporting and transfers work after the initial placement.
