Terms of Service

§1 Scope and applicability

These Terms apply to all current and future contracts for services provided by Finance Loop. Separate terms of use apply to use of the website. The scope of services is set out in the service description in the offer, order confirmation, or order. Any attached or expressly referenced documents, in particular Community or Partner Kits, form part of the contract where available. General statements or items marked as planned do not constitute binding commitments unless agreed as specific services. The customer’s conflicting terms apply only if Finance Loop agrees to them in text form.

§2 Contract formation

(1) Offers made by Finance Loop are non-binding.

(2) The contract is formed only when Finance Loop confirms acceptance of the order in text form, for example by email. The confirmation may be included with the invoice. Silence or payment alone is not sufficient.

(3) Individual agreements in the offer or order confirmation take precedence over these Terms. Additional agreements must be made in text form.

§3 Withdrawal, termination, and cancellation

(1) Termination and cancellation are governed by the agreed term and the conditions stated in the offer or at booking. Statutory provisions apply to one-time services where no specific terms are stated. Ordinary termination is excluded during a fixed term. Termination and renewal are governed by Section 8.

(2) The agreed fee remains payable even if individual services are not used. Fees for services already performed remain payable. Statutory rights are unaffected.

(3) Either party’s right to terminate for cause remains unaffected.

(4) Statutory consumer withdrawal rights apply to each booked service where they exist in the individual case. The applicable law governs the time limit, exceptions, and consequences. Any required notices and consents will be provided separately before the contract is formed. Businesses do not have consumer withdrawal rights.

§4 Prices and payment

(1) The prices stated in the offer or order confirmation apply. Any prices stated net are subject to statutory VAT.

(2) Unless the offer or order confirmation states otherwise, invoices are payable in full within 14 days of issue.

(3) Statutory default interest applies to overdue payments.

(4) Finance Loop retains all rights in the services provided until payment has been made in full.

(5) For consumers, the prices agreed when the contract is formed remain fixed; any price adjustment requires their express consent. For ongoing contracts with businesses, Finance Loop may adjust the fee no more than once a year to reflect changes after contract formation in personnel, venue, technology, and third-party service costs directly related to the services. Cost reductions will be reflected accordingly, and any adjustment is limited to the proportional change in costs. Finance Loop will give at least six weeks’ notice in text form, stating the reason, calculation, new price, and effective date. If the business does not object in text form by the effective date, the adjustment is deemed accepted. If it objects, either party may terminate the affected contract as of the effective date.

§5 Service delivery

(1) Finance Loop will provide the agreed services with due care. Each party bears its own travel and accommodation costs unless agreed otherwise.

(2) No specific result, such as a particular reach, number of participants, or increase in sales, is guaranteed.

(3) If an event cannot take place due to force majeure, a speaker’s illness, or an official order, Finance Loop will inform the customer without undue delay and, where reasonable, offer a replacement date or equivalent service. If the service is not provided at all, any fee adjustment or refund is governed by statutory law.

(4) The customer must provide agreed content and materials on time and in the required formats. Delays may postpone the agreed service dates.

§6 Use of logos and materials

(1) Each party grants the other a non-exclusive, non-transferable right to use the logos, names, and materials it provides, to the extent necessary to perform the agreed services. Publication, for example in profiles, partner lists, or promotional materials, is permitted only if included in the order or separately approved.

(2) Neither party may use the other party’s logos, names, or materials in a way that harms its reputation or suggests an affiliation or endorsement that has not been agreed.

(3) Logos and materials may not be shared with or sublicensed to third parties unless expressly agreed in writing.

(4) The customer must ensure that it holds all rights required for content it supplies, such as logos, photos, and text, and will indemnify Finance Loop against related third-party claims.

§7 Liability

(1) Finance Loop’s liability is unlimited in cases of intent, gross negligence, injury to life, body, or health, fraudulent concealment, guarantees assumed, and under the German Product Liability Act.

(2) For a slightly negligent breach of an essential contractual obligation, Finance Loop is liable only for foreseeable damage typical of the contract. Any further liability is excluded to the extent permitted by law.

(3) The customer is responsible for its content and the rights required to use it.

§8 Term and renewal

(1) Unless the offer or order states otherwise, recurring services, such as memberships and partner programs, have an initial fixed term of 12 months. The type and transferability of paid memberships are stated in the offer or order.

(2) For consumers, the contract renews for an indefinite term unless terminated no later than one month before expiry. After renewal, it may be terminated at any time on one month’s notice.

(3) For businesses, the contract renews for the agreed term unless terminated in text form at least three months before expiry. One-time services have no term and renew only by agreement.

§9 Retention of title and rights of use

(1) Physical materials remain the property of Finance Loop until payment has been made in full.

(2) The scope and transfer of rights to use work results are governed by the offer or order confirmation. Unless agreed otherwise, those rights transfer only after payment has been made in full.

(3) Until then, the customer may not use, modify, reproduce, share, or publish the work results unless permitted or allowed by law.

§10 Final provisions

(1) The contracting party for services offered under the Finance Loop brand is Gateflow GmbH, Platz der Einheit 2, 60327 Frankfurt am Main, Germany.

(2) Amendments to these Terms apply to new contracts once notice has been given and the amended Terms have been incorporated. Amendments to existing contracts require both parties’ consent in text form. Individual agreements remain unaffected.

(3) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, to the extent permitted. Mandatory consumer protection rules under applicable law remain unaffected.

(4) The place of jurisdiction is Frankfurt am Main, Germany, to the extent permitted by law. Otherwise, the statutory rules on jurisdiction apply.

(5) In all other respects, statutory law applies if any provision is invalid.

(6) The English version is a translation. In case of discrepancies, the German version prevails to the extent permitted by law. The current version is available at: https://www.finance-loop.net/terms-of-service/
